Terms of Service

1. Overview of the Service

EZClaws is a hosting and infrastructure platform that provisions dedicated cloud instances running OpenClaw, an open-source AI agent framework. We provide the hosting infrastructure, deployment automation, and billing layer. We do not develop, maintain, or control OpenClaw itself, the underlying AI models (such as those provided by Anthropic or OpenAI), or the content generated by those models.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

You must sign in using a valid Google account. You are responsible for maintaining the security of your account credentials, API keys, and gateway URLs. You are solely responsible for all activity that occurs under your account.

4. Subscription and Payments

• Access to agent deployment requires an active paid subscription through Stripe.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled.
• Usage credits are included with your subscription and may also be purchased separately. Credits are non-refundable and non-transferable.
• We reserve the right to change pricing at any time. Changes take effect at the start of your next billing cycle.
• If payment fails or your subscription lapses, we may suspend or terminate your access to the Service, including shutting down running agent instances.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Generate, distribute, or facilitate the creation of illegal, harmful, abusive, defamatory, obscene, or otherwise objectionable content.
• Harass, threaten, impersonate, or intimidate any person.
• Distribute malware, spam, phishing attempts, or any other malicious content.
• Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks.
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of our proprietary platform (this does not restrict your rights under OpenClaw's open-source license).
• Use the AI agents to make autonomous decisions in high-risk domains (medical, legal, financial, safety-critical) without appropriate human oversight.

We reserve the right to suspend or terminate your account immediately and without notice for any violation of these terms.

You acknowledge and agree that:

• You are solely responsible for reviewing, verifying, and evaluating all AI-generated content before relying on or distributing it.
• AI outputs do not constitute professional advice of any kind (legal, medical, financial, or otherwise).
• We bear no responsibility whatsoever for any decisions made, actions taken, or consequences arising from AI-generated content.
• You are solely responsible for ensuring that your use of AI-generated content complies with all applicable laws and regulations, including those related to intellectual property, privacy, and defamation.

8. Your Content and Data

You retain ownership of any content you provide to the Service (prompts, configurations, data). By using the Service, you grant us a limited license to process your content solely as necessary to provide the Service.

Conversations, files, and data stored on your agent instance are held on infrastructure we manage but may be permanently deleted at any time, including upon redeployment, account termination, or infrastructure changes. We are not a backup or archival service. You are solely responsible for backing up your data.

9. Disclaimer of Warranties

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service (including all AI-generated content) will be accurate, reliable, or complete.
• The Service will meet your requirements or expectations.
• Any defects or errors in the Service will be corrected.

10. Limitation of Liability

This includes, without limitation, damages arising from: your use of or inability to use the Service; any AI-generated content; any actions taken based on AI outputs; unauthorized access to your data; conduct of third parties; bugs or harmful code; and service interruptions, downtime, data loss, or infrastructure failures.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dead Unicorn Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service.
• Your violation of these Terms or any applicable law or regulation.
• Any content you create, generate, transmit, or distribute through the Service, including AI-generated content.
• Your interactions with third-party services, including AI model providers and messaging platforms.
• Any claim by a third party arising from your use of the Service.

12. Assumption of Risk

You expressly acknowledge and agree that your use of the Service, including any AI agent instances and their outputs, is at your sole risk. You assume full responsibility for:

• All content generated by AI agents deployed through the Service.
• Any interactions between your AI agent and third parties (including via Telegram or other connected channels).
• Any consequences resulting from AI agent behavior, whether intended or unintended.
• Ensuring that your use of AI agents complies with all applicable laws and the terms of service of any connected platforms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately and we may delete your agent instances and associated data without further notice.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dead Unicorn Inc. regarding the Service and supersede all prior agreements, understandings, and communications.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
